OVERVIEW
Welcome to TRYHGI.
The terms “we”, “us” and “our” refer to Nordic Passive ApS. Nordic Passive ApS operates this online store and website, including all related information, content, features, tools, products and services, in order to provide you with a convenient shopping experience (collectively, the “Services”).
Our online store is powered by Shopify, which assists us in providing the Services.
These Terms and Conditions of Service, together with any additional policies referenced herein (collectively, the “Terms”), govern your rights and obligations when using our Services.
Please read these Terms carefully. They contain important information about your rights and obligations, particularly regarding orders, products, returns, liability, intellectual property and use of our website.
By visiting, accessing or using our website and Services, you agree to these Terms. If you do not agree with these Terms or our Privacy Policy, you should not use our website or Services.
Your statutory consumer rights, including rights of withdrawal, statutory warranty rights and other mandatory consumer protections, remain unaffected by these Terms.
SECTION 1 – ACCESS AND USER ACCOUNTS
1.1 Eligibility to Use the Services
By using our Services, you confirm that you have the legal capacity required under applicable law to enter into the relevant contracts.
If you order products on behalf of another person, you confirm that you are authorized to do so.
1.2 Customer Information
To use our Services, place orders or access certain features of our website, you may be required to provide certain information, including your name, email address, billing information, payment information and delivery address.
You agree to provide accurate, complete and current information and to update it when changes occur.
1.3 Account Security
If you create a user account, you are responsible for maintaining the confidentiality of your login credentials and for activities conducted through your account.
You may not transfer or sell your account to another person without our prior consent.
We reserve the right to suspend or close a user account where we identify a breach of these Terms or applicable law.
SECTION 2 – OUR PRODUCTS
We make reasonable efforts to display our products as accurately as possible on our website.
Our range includes various products, goods and accessories, as described on the applicable product pages.
Product images, colors and representations may differ slightly from the actual goods depending on your screen, device and individual display settings.
Product descriptions, technical specifications, dimensions, availability and other information may be updated or changed where permitted by law.
We also reserve the right to discontinue products or limit available quantities at any time.
2.1 Safe Use of Products
Our products and goods must be used in accordance with the operating, safety and usage instructions supplied with them.
Customers should in particular:
-
read the operating instructions carefully before first use;
-
follow all manufacturer safety instructions;
-
use appropriate personal protective equipment where required;
-
use the product only for its intended purpose;
-
not use the product if it is damaged or clearly defective;
-
keep children and unauthorized persons away from the product where required for safety;
-
not use the product under conditions that could compromise safe operation;
-
carry out maintenance and cleaning only in accordance with the manufacturer's instructions.
If you are uncertain about the safe use of a product, you should not operate or use it until appropriate professional advice has been obtained.
2.2 Product Changes
We reserve the right to change product features, technical specifications or packaging where necessary and where applicable legal requirements are met.
Such changes do not automatically create a right to return or refund where the delivered goods still conform to the agreed contractual specifications.
SECTION 3 – ORDERS AND CONTRACT FORMATION
When you place an order through our online store, you make an offer to purchase the selected products.
Receipt of your order does not automatically constitute acceptance of your purchase offer.
A contract is formed when we expressly accept your order or when the order is fulfilled by dispatching or otherwise providing the goods in accordance with applicable law.
We reserve the right to reject or cancel an order where there is a legally permissible reason to do so.
If we are unable to accept an order or need to cancel it, we will make reasonable efforts to contact you using the details provided with your order.
Please review your order carefully before submitting it.
3.1 Returns and Right of Withdrawal
Consumers in the European Union generally have a statutory 14-day right of withdrawal.
The details regarding withdrawal, returns, return shipping and refunds are set out in our separate Return, Withdrawal and Refund Policy.
Your statutory rights concerning defective, damaged or incorrectly delivered products remain unaffected.
The applicable Return and Refund Policy forms part of these Terms to the extent that it applies to your order.
3.2 Personal Use
Our products are generally intended for personal use unless otherwise stated on the relevant product page.
Customers must not use our products for unlawful purposes or in any way that violates applicable safety, environmental or other legal requirements.
SECTION 4 – PRICES AND PAYMENTS
Prices displayed on our website are stated in the currency applicable to the selected sales market: Euro (EUR) for Germany, Austria, Italy and Spain; Polish Zloty (PLN) for Poland; Czech Koruna (CZK) for the Czech Republic; and Hungarian Forint (HUF) for Hungary. The currency and final price applicable to your order will be shown at checkout.
Prices, discounts and promotional offers may be changed where permitted by law.
The price applicable to your order will be shown in your order confirmation.
Unless expressly stated otherwise, shipping charges or other additional costs may be displayed separately.
4.1 Payment Information
You agree to provide accurate and complete payment information when placing an order.
You confirm that you are authorized to use the payment method provided.
If a payment is not authorized, is declined or cannot be successfully completed, processing of the order may be suspended or the order may be cancelled.
SECTION 5 – SHIPPING AND DELIVERY
We currently deliver our goods to Poland, Germany, Austria, Italy, Spain, the Czech Republic and Hungary.
We make reasonable efforts to dispatch orders within the delivery time stated on our website or in the order confirmation.
Delivery times may be affected by factors outside our reasonable control, including transport providers, customs procedures, weather conditions, strikes or other events beyond our reasonable control.
For deliveries within the European Union, mandatory legal rules regarding delivery and the transfer of risk to consumers apply.
We are not responsible for delays caused exclusively by events outside our reasonable control to the extent permitted by applicable law.
5.1 Products and Goods
Products and goods may be subject to specific transport and safety requirements depending on their nature.
Customers must use products and goods only in accordance with the supplied safety and usage instructions.
Damaged or otherwise defective products must not continue to be used where doing so could create a safety risk.

To the extent permitted by law, we are not responsible for the operation, availability or content of third-party tools that are outside our control.
If you use such tools, you do so subject to the applicable third-party terms.
We may introduce additional features, tools or services in the future. Such new features may also be subject to these Terms.
SECTION 8 – THIRD-PARTY LINKS
Our website may contain links to third-party websites or services.
We are not responsible for the content, products, services, privacy practices or other activities of those third parties.
When you click a link to a third-party website, you may leave our Services.

Our online store is powered by Shopify.
Shopify provides the technical infrastructure that enables us to operate our online store and provide our Services.
However, the purchase contract for products ordered from our store is between you and Nordic Passive ApS.
Shopify is not the seller of our products and is not responsible for Nordic Passive ApS fulfilling your order.
To the extent permitted by law, Shopify is not responsible for claims arising directly from the purchase contract between you and Nordic Passive ApS.
SECTION 10 – PRIVACY
Personal data is processed in accordance with our Privacy Policy.
When using our online store, personal data may be transmitted to and processed by Shopify and other service providers where necessary for the provision, security, processing and improvement of our Services.
Further information is available in our Privacy Policy.
By using our Services, you acknowledge that you have read our Privacy Policy.
SECTION 11 – REVIEWS AND FEEDBACK
If you submit reviews, comments, suggestions, photographs, videos or other content to us (“Feedback”), you confirm that you have the necessary rights to do so.
You must not submit content that:
-

Where permitted by law and where reasonably necessary for our business operations, you grant us a non-exclusive, worldwide and royalty-free right to use, reproduce, edit and display such content.
We are not required to publish or retain Feedback.

SECTION 14 – AUTOMATED ACCESS AND AGENTS
An “Agent” means software or a service that performs automated or partially automated actions on behalf of a user.
Automated systems may not use our Services in a way that bypasses security measures, interferes with the proper functioning of our website or violates applicable access restrictions.
We may technically restrict or block automated access where necessary for the security and protection of our Services.
SECTION 15 – TERMINATION AND SUSPENSION
We may temporarily suspend or terminate access to our Services where required due to a breach of these Terms, legal obligations, security requirements or other legitimate reasons.
Such action does not affect statutory rights or obligations that have already arisen.
Provisions relating to intellectual property, liability, privacy, dispute resolution and other provisions which by their nature are intended to continue after termination will remain in effect as applicable.
SECTION 16 – WARRANTIES AND PRODUCT INFORMATION
Information on our website is provided for general product information purposes.
We make reasonable efforts to provide complete and accurate product information, but we cannot guarantee that all information will be error-free or complete at all times.
For products and goods, the operating and safety instructions supplied with the relevant product must be followed.
Nothing in these Terms excludes or unlawfully limits statutory warranty rights or other mandatory consumer rights.
We do not provide an additional voluntary commercial warranty unless expressly stated otherwise. Your statutory warranty and consumer rights remain unaffected.
SECTION 17 – LIMITATION OF LIABILITY
We are liable in accordance with applicable law for losses caused intentionally or through gross negligence.
For injury to life, body or health, as well as claims arising under mandatory product liability laws, the applicable statutory liability rules apply.
In all other cases, our liability is excluded or limited only to the extent permitted by applicable law.
In particular, we are not responsible for losses caused solely by using a product contrary to its operating instructions, safety instructions or intended use, where such limitation is legally permitted.

To the extent permitted by law, you agree to indemnify Nordic Passive ApS against third-party claims arising directly from your culpable breach of these Terms or applicable law.
This does not apply where the relevant claim was caused by our own legally relevant misconduct or where indemnification is prohibited by law.
SECTION 19 – SEVERABILITY
If any provision of these Terms is wholly or partly invalid, unlawful or unenforceable, the validity of the remaining provisions will not be affected.
Where legally permissible, the invalid provision will be replaced by the legally valid provision that most closely reflects the economic purpose of the original provision.
SECTION 20 – WAIVER AND ENTIRE AGREEMENT
If we do not immediately exercise a right under these Terms, this does not constitute a waiver of that right.
These Terms, together with the policies expressly referenced herein and the contractual documents applicable to the relevant order, form the basis for your use of our Services and purchase of our products.
Mandatory statutory consumer rights remain unaffected.
SECTION 21 – ASSIGNMENT
You may not transfer your rights or obligations under these Terms without our prior consent, to the extent permitted by law.
We may transfer rights and obligations in connection with our business provided that doing so does not unlawfully affect your statutory rights.
SECTION 22 – GOVERNING LAW AND CONSUMER PROTECTION
These Terms are governed by the applicable law.
For consumers whose habitual residence is in Poland, Germany, Austria, Italy, Spain, the Czech Republic or Hungary, mandatory consumer protection rules of the country of their habitual residence apply where required by law.
Nothing in these Terms is intended to deprive a consumer of protection granted by mandatory legal provisions applicable to them.
SECTION 23 – HEADINGS
Section headings are provided solely for convenience and easier reference.
They do not affect the interpretation of the relevant provisions.
